1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Agreement" means these Terms and Conditions, together with any programme enrolment confirmation or engagement letter.
• "Service" means the AI training programmes, integration engagements, and related services provided by Bumi Prism.
• "User" / "you" means any individual or organisation accessing our website or engaging our services.
• "We / Us / Our" means Bumi Prism Pte. Ltd., a company incorporated in Singapore.
• "Content" means all materials, reports, frameworks, and programme resources produced or provided as part of our services.
• "Website" means the Bumi Prism website accessible at https://bumiipriies.life.

2. Acceptance of Terms

By accessing our website, submitting an enquiry, or entering into a programme engagement with Bumi Prism, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or engage our services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

3. Service Description

Bumi Prism provides AI capability development services for organisations, including:

• The AI Foundations and Context Setting programme (3–4 weeks)
• The Progressive AI Capability Programme (~9 weeks)
• The Holistic AI Integration Programme (18–22 weeks)
• Associated consulting, scoping, and post-programme review activities

Services are primarily delivered to organisations based in Singapore and the Southeast Asian region. Availability for engagements outside this geography is subject to separate discussion.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and complete information in all communications and enrolment processes
• Use our website and services only for lawful purposes
• Not attempt to gain unauthorised access to any part of our systems
• Not reproduce, distribute, or commercially exploit our programme materials without written permission
• Ensure that participant information provided to us is collected and shared in accordance with applicable privacy laws

5. Intellectual Property

All programme materials, methodologies, reports, frameworks, and content produced by Bumi Prism remain the intellectual property of Bumi Prism Pte. Ltd. unless expressly agreed otherwise in writing.

Upon completion of a programme and full payment of fees, clients receive a non-exclusive, non-transferable licence to use deliverables (such as contextual landscape reports, integration plans, and governance frameworks) for their own internal organisational purposes.

You may not resell, sublicense, or represent Bumi Prism's content or methodologies as your own without prior written consent.

6. Payment Terms

Programme fees are stated in Singapore Dollars (SGD) and are as follows at base rate per participant:

• AI Foundations and Context Setting: S$365
• Progressive AI Capability Programme: S$610
• Holistic AI Integration Programme: S$940

Specific pricing for organisational engagements, group arrangements, and any additional customisation is confirmed in writing prior to commencement. Payment terms, including deposit requirements and invoicing schedule, are set out in the relevant engagement letter. All fees are exclusive of applicable taxes unless stated otherwise.

7. Service-Specific Terms

The following terms apply specifically to our training and integration services:

• Scoping: All engagements begin with a scoping discussion. Bumi Prism reserves the right to decline an engagement if the scoping process reveals a mismatch with our programme's scope or approach.
• Scheduling: Session schedules are agreed collaboratively. Requests for rescheduling should be made with reasonable notice (minimum 48 hours where possible).
• Cancellation by client: Cancellation terms are set out in the engagement letter. Deposits may be non-refundable depending on timing.
• Programme modifications: Bumi Prism may make reasonable adjustments to programme content to reflect updated AI developments or client feedback, without materially altering the scope of the engagement.
• Completion: Programme deliverables are considered complete upon delivery. Post-programme review sessions are included and scheduled within six weeks of programme conclusion.

8. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive business information shared during the course of an engagement. This obligation survives termination of the Agreement. Bumi Prism will not disclose client organisational information to third parties except as required by law or with the client's consent.

9. Disclaimers

Our services and website content are provided in good faith and to the best of our knowledge, but without warranties of any kind, express or implied, to the extent permitted by law. In particular:

• We do not warrant that programme outcomes will meet specific organisational targets or business objectives.
• AI landscape information is subject to rapid change; we cannot warrant that all content remains current beyond the date of delivery.
• Our services do not constitute legal, regulatory, or technical advice. Where specialist advice is required, we recommend engaging qualified professionals.

10. Limitation of Liability

To the extent permitted by Singapore law, Bumi Prism's total liability to you in connection with any engagement or use of our website shall not exceed the fees paid by you for the relevant programme in the preceding 12 months.

We are not liable for indirect, consequential, special, or punitive damages, including loss of profits or business opportunities, even if we have been advised of the possibility of such damages. Nothing in these terms excludes liability for fraud, death, or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold harmless Bumi Prism, its directors, employees, and contractors from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms and Conditions, your misuse of our services or content, or any third-party claims arising from your actions in connection with our services.

12. Termination

Either party may terminate an engagement by providing written notice in accordance with the terms of the relevant engagement letter. Bumi Prism may suspend or terminate access to services immediately if:

• You breach these Terms and Conditions in a material way and do not remedy the breach within 14 days of notification
• Payment obligations are not met within agreed terms
• Continued engagement would require us to act contrary to applicable law or professional standards

Upon termination, fees for work completed to the point of termination remain payable. Clauses relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

13. Dispute Resolution

In the event of a dispute arising from these Terms or any engagement, the parties agree to first attempt resolution through good-faith discussion. If a dispute cannot be resolved informally within 30 days, either party may refer the matter to mediation through the Singapore Mediation Centre before initiating formal proceedings.

These Terms are governed by and construed in accordance with the laws of Singapore. The courts of Singapore shall have exclusive jurisdiction over any disputes not resolved through the above process.

14. General Provisions

• Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties and supersede prior discussions or representations.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent.
• Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via our website or directly. Continued use of our services after the effective date of updated terms constitutes your acceptance of the changes. We recommend reviewing this page periodically.
